Terms and Conditions

1. Acceptance of Terms

By using Sanad as a content creator or as a client, you acknowledge and agree to be bound by these Terms and Conditions. If you do not agree, you may not use the platform or any of its services. These terms form a legally binding agreement between you and Sanad.

2. Amendments

Sanad reserves the right to amend these terms at any time. Non-material amendments, or amendments required by regulation, take effect as soon as they are published. Users are notified of material amendments by email or by a notice on the platform, and these take effect (15) days after the notice. No amendment applies to orders already in progress when it takes effect, and continued use after it takes effect constitutes acceptance of it.

3. Eligibility
  • The user must be at least 18 years old.
  • The user confirms that they are not legally prohibited from using the services under the laws of the Kingdom of Saudi Arabia.
  • The platform may at any time request proof of the user’s identity, commercial registration or license, and may suspend or restrict the account if it is not provided or its validity is in doubt.
  • The user may not create more than one account without the platform’s written consent, and the platform may suspend multiple accounts.

4. Agencies and Companies
  • Whoever manages an agency or company account confirms that they are legally authorized to contract on its behalf.
  • The agency or company is responsible for everything done through its account by its employees or the content creators it represents.
  • The agency must obtain written authorization from the content creators whose accounts it manages, and provide it to the platform on request.

5. Licenses and Regulations
  • Content creators must obtain a valid “Mawthooq” license from the General Authority for Media Regulation before running any campaign.
  • The client is responsible for ensuring that the advertised products or services are authorized in the Kingdom of Saudi Arabia.
  • Any violating content exposes its owner to legal accountability.

6. User Obligations

  • The Personal Data Protection Law.
  • The Audiovisual Media Law.
  • The Anti-Cyber Crime Law.
  • The Public Decorum Regulation.
  • The E-Commerce Law.

As well as:

  • Clearly disclosing advertisements using the official tags (#Ad or #Paid_Ad).
  • Not publishing any content that violates Islamic Sharia or social norms.
  • Not impersonating others or providing misleading information.
  • Not using unauthorized tools to extract or copy platform data.

7. About the Platform
  • Sanad operates as a technical intermediary to facilitate collaboration between content creators and clients.
  • The contractual and financial relationship is formed directly between the two parties through the platform.
  • The platform is not responsible for the accuracy or legality of content published by users.
  • No employment, agency or partnership relationship arises between the platform and any user; content creators work independently.

8. Intellectual Property
  • All intellectual property rights relating to the platform are reserved.
  • No part of the platform or its services may be copied or reused without prior written permission.

9. Content Usage Rights
  • The content creator and the client grant the platform a non-exclusive, perpetual license to use the submitted content for documentation, marketing and improving the service.
  • The original rights remain with the owner of the content.

10. Links and Advertisements
  • The platform may contain links to third-party websites or advertisements.
  • Sanad is not responsible for the accuracy, legality or privacy policies of such content.
  • The user alone is responsible for any dealings with advertisers.

11. Payments and Taxes
  • All payments on the platform are subject to Value Added Tax (VAT at 15%).
  • The user is responsible for declaring their income to the Zakat, Tax and Customs Authority (ZATCA).
  • Both parties must make all payments for any order started on the platform exclusively through the platform’s payment methods. Agreeing to pay outside the platform is a serious violation that entitles the platform to suspend the account and claim the commissions due.
  • The user may not dispute any amount paid through the platform with their bank or card company. If this happens, the platform may suspend the account, recover the amount from the user’s balance, and charge the user the administrative and legal costs.
  • Companies must provide the platform with their correct tax number so that invoices comply with ZATCA requirements.

12. Holding of Funds
  • The client deposits the full value of the order with the platform when creating it. The amount is held and is transferred to the content creator only after the content is approved, explicitly or automatically.
  • Once the amount is transferred to the content creator it is final, and the client may not claim a refund of it.

13. Deadlines and Revision Rounds
  • General rule: the deadlines and number of revisions set in the campaign apply once both parties agree to them; whatever the campaign does not set is governed by the following default deadlines.
  • Content delivery: within (3) days of the content creator receiving the product if it is physical, or of receiving the order if it is not.
  • Client review: within (72) hours of the content being delivered, the client approves it, requests a specific revision, or rejects it for an acceptable reason under the Content Creation Terms and Conditions. If the period passes with no action, the content is deemed approved automatically.
  • Making revisions: within (72) hours of a revision request, the content creator delivers the revised version, or objects if the revision is outside the scope of the order. If the period passes with no action, the client may request a refund or open a dispute.
  • Revision rounds: two (2) revisions per order.
  • The platform’s time is used to calculate all deadlines.

14. Refunds

The client is entitled to a refund if:

  • The content creator rejected the order, or did not accept it within (72) hours and the client cancelled it.
  • The content was not delivered on time without an acceptable excuse, or the revision was not made within the deadline.
  • An acceptable reason for rejecting the content was established.
  • The content creator’s account was suspended during the work.

The client is not entitled to a refund if:

  • They approved the content, explicitly or automatically.
  • The delay was caused by them, such as not responding or materially changing the order details after it was accepted.
  • The content matched the order and the rejection was due to general dissatisfaction.

How refunds work:

  • The amount is returned to the client’s wallet on the platform, and the client may request a transfer to their bank account.
  • Refunds are immediate for rejections and cancellations, and take from one to 5 business days from the decision in cases that need review.
  • The platform may charge administrative fees announced in advance, in cases such as the client cancelling after the content creator has accepted, or requesting revisions that materially change the scope of work.

15. Account Termination
  • The platform may suspend or terminate any account that violates the terms or regulations.
  • The user may cancel their account at any time.
  • The platform may remove any violating content without prior notice, and report it to the competent authorities where required.

17. Limitation of Liability

  • The platform’s liability is limited to the fees actually paid to it for its services, to the extent permitted by the regulations in force in the Kingdom of Saudi Arabia.

21. Governing Law and Jurisdiction
  • These terms are governed by the laws and regulations of the Kingdom of Saudi Arabia.
  • The courts of Riyadh have jurisdiction over any dispute arising from these terms, subject to Section (22) on arbitration.

22. Dispute Resolution
  • The parties must try to resolve any dispute with the platform amicably within (15) days of one notifying the other of it in writing. Disputes between users about orders and held funds are governed by the period and procedure set out in this section under “Disputes between users about orders”.
  • If no amicable solution is reached, the dispute is referred to the competent authorities.
  • Class actions may not be brought against the platform.

Disputes between users about orders:

  • The parties try to settle the disagreement amicably through the platform’s chat for at least (3) business days.
  • If an amicable solution is not possible, either party may escalate the dispute to the platform’s disputes team, as long as the amount is held by the platform.
  • The team bases its decision on the written order details, the conversations on the platform, the delivered content and the record of deadlines, and may propose an amicable solution such as changing the publishing date.
  • If the disputed amount is 250 Saudi riyals or less, the platform may split it equally between the two parties.
  • The platform may charge a review fee of (5%) of the disputed amount, with a minimum of (200) Saudi riyals; this fee is not charged in disputes where the amount is split equally.
  • The team’s decision on the held amount is binding, and does not affect either party’s right to resort to arbitration or the competent court under this section and Section (21).

Arbitration:

Any dispute worth more than (1,000) one thousand Saudi riyals that is not resolved amicably is referred to arbitration at the office of Abdulmajeed Al-Muhanna. The seat of arbitration is Riyadh, its language is Arabic, and its award is final and binding on both parties. If arbitration there is not possible for any reason, the platform chooses another accredited arbitrator and notifies the other party, who may object within (7) days of the notice; if they object, the competent court appoints the arbitrator. The party against whom the award is made bears the arbitration fees and costs.

23. Severability
  • If any clause is held invalid, the remaining clauses remain in effect.
  • The platform’s failure to exercise any of its rights is not a waiver of that right.
  • Arabic is the authoritative language for interpreting these terms; any translation is for guidance only.
  • These terms, together with the Privacy Policy and the Content Creation Terms and Conditions, constitute the entire agreement between the parties.

24. International Use
  • The platform’s services are intended for users in the Kingdom of Saudi Arabia.
  • Anyone using the platform from outside the Kingdom is responsible for complying with local regulations.

25. Feedback and Reporting
  • Users may send suggestions or report violations by email: info@getsanad.sa
  • By sending feedback, the user grants the platform a perpetual right to use it to develop and improve the service.
