Content Creation Terms and Conditions

1. Introduction

Welcome to Sanad. By using the platform as a content creator, you agree to be bound by these terms and conditions, which govern the relationship between you, the platform and clients.

2. Registration and Account
  • Content creators must be at least 18 years old.
  • Content creators must provide correct and complete information when registering, keep it up to date, and bear full responsibility for it.
  • A content creator’s Sanad account may not be sold, transferred or shared with any third party.
  • Content creators bear full legal and financial responsibility for all activity on their account.
  • Content creators must verify their account officially using the approved methods; the account is fully activated only once verification is complete.

3. Licenses and Legal Compliance
  • The content creator confirms that they hold the license required for advertising activity, issued by the General Authority for Media Regulation or any competent authority.
  • The content creator complies with all laws and regulations on media work, including advertising, data protection and intellectual property.
  • The content creator must hold a valid “Mawthooq” license before running any advertisement, and advertise only from the account registered in the license. The client is responsible for verifying that the content creator’s license is valid before contracting with them and before the advertisement is published. Sanad acts only as an intermediary platform, and any check it makes is not a guarantee of the license’s validity. The content creator and the client alone, each for their own part, bear any fines or liabilities resulting from a breach of this, and must indemnify Sanad for any harm it suffers as a result.
  • The content creator must stop any advertisement immediately if the competent authority requests it, and the platform bears no liability for this.

4. Using the Platform
  • The platform lets content creators create a profile, browse campaigns and apply to take part in them.
  • Content creators use the platform for commercial and professional purposes only.
  • Publishing any content that violates regulations or infringes intellectual property rights is prohibited, and the platform may suspend the account.

5. Campaigns and Compensation
  • Each campaign sets out the content details, the publishing period and the compensation.
  • Compensation may be monetary, products or services.
  • All amounts are subject to VAT, and the content creator is responsible for declaring them.
  • Payment is made within 3 business days after the requirements are met, or as agreed.
  • Compensation is transferred to the content creator only after the client approves the content explicitly, or it is approved automatically when the period ends, under Section (13) of the Terms and Conditions.

6. Content Creator Obligations
  • Produce original content that does not infringe any rights.
  • Disclose advertising content using the “Ad” tag or as the competent authorities require.
  • Accept or reject an order within (72) hours of receiving it.
  • Follow the client’s written requirements in the campaign and the set deadlines.
  • Deliver a requested revision within 72 hours of the request, or object on the platform if it is outside the scope of the order.
  • Remove content immediately when the client or the platform requests it; this does not affect the content creator’s entitlement to the order value once approved.
  • The content creator confirms that they have full legal capacity.
  • Enter accurate information and keep it up to date.
  • Follow up on client orders and respond to enquiries.
  • Re-offering or sharing the service outside the platform is prohibited.
  • Keep data and information confidential.
  • Not publish content that violates the laws of the Kingdom of Saudi Arabia.
  • The content creator may not impose additional rights after work has started.
  • Comply with all regulations on advertising activity.
  • Behave professionally on the platform.
  • Not offend other content creators on or off the platform.

7. Platform Rights
  • The platform may review or reject any content.
  • The platform may suspend or terminate the account in the event of a violation.

8. Confidentiality

The content creator and the client acknowledge that all information relating to campaigns or brands is confidential between the parties and the platform.

9. Termination
  • The content creator may stop using the platform after completing the related obligations.
  • The platform may terminate or suspend any violating account without prior notice.

10. General Provisions
  • These terms are governed by the laws and regulations of the Kingdom of Saudi Arabia.
  • Disputes are settled amicably within 15 days.
  • The courts of Riyadh have jurisdiction over disputes, subject to the arbitration provisions in Section (22) of the Terms and Conditions.
  • Disputes about orders and held funds are subject to the procedure in Section (22) of the Terms and Conditions.
  • The platform bears no liability for any breach between the content creator and the client.
  • Sanad reserves the right to amend these terms at any time. Non-material amendments, or amendments required by regulation, take effect as soon as they are published. Users are notified of material amendments by email or by a notice on the platform, and these take effect (15) days after the notice. No amendment applies to orders already in progress when it takes effect, and continued use after it takes effect constitutes acceptance of it.

11. Content Usage Rights
  • The content creator and the client grant Sanad a perpetual, non-exclusive license to use advertising material for marketing or development purposes, without affecting ownership of the content.
  • Content usage rights are set by the campaign, and both parties’ acceptance of the campaign is a binding agreement to them. Where the campaign is silent, usage is for the duration of the campaign.
  • The content creator may show the content in their portfolio, unless the client requests that the campaign be kept confidential.

12. Client Obligations Regarding Content
  • Write the content requirements clearly in the order, and attach any brand guidelines.
  • Set a reasonable delivery date.
  • Review and respond to the content within the period set in Section (13) of the Terms and Conditions.
  • Any rejection or revision request must be written on the platform and state its reason.

13. Reasons for Rejecting Content

Acceptable reasons: the client may reject the content if it:

  • Does not match the written requirements of the order.
  • Contains an error in the product’s name, price, specifications or the offer.
  • Leaves out a mandatory element stated in the order, such as the link, the discount code or the hashtag.
  • Lacks the advertising disclosure.
  • Violates regulations or public decorum.
  • Harms the brand, or mentions a competitor without permission.
  • Is technically so poor that it cannot be understood or watched.
  • Is copied, or includes material owned by others without permission.
  • Was delivered after its deadline without an acceptable excuse.

Unacceptable reasons: the following are not grounds for rejection or a refund:

  • Personal taste, where the content matches the order.
  • Requirements not stated in the order, or added after it was accepted.
  • Weak performance of the content after it is published.
  • The content creator’s usual style, unless a different one was requested in writing.
  • The client changing their marketing plan or cancelling their campaign.

14. Rejection Procedure
  • The client chooses the reason for rejection from the acceptable reasons, with a written explanation on the platform.
  • A first rejection is treated as a revision request, unless the reason is a regulatory violation, copying or a delay.
  • The order is escalated to the disputes team if the rejection is repeated after a revision, or if the content creator objects to the reason.
  • A rejection with no reason, or for an unacceptable reason, is disregarded, and the review period continues to run.
